General Terms & Conditions
These General Terms & Conditions (“Terms”) govern the relationship between DaoPay GmbH (“DaoPay,” “we,” “us”) and merchants and business partners who enter into an agreement with us, as well as the payment services DaoPay provides in connection with transactions between merchants and their end-customers (“payers”). By entering into an agreement with DaoPay or using our services, you accept these Terms.
About DaoPay
Company identity
DaoPay GmbH is registered with the Commercial Court of Vienna under FN 364645v, with its registered office at Hackhofergasse 5/14, 1190 Vienna, Austria. DaoPay GmbH is a Licensed Austrian Payment Service Provider and Acquirer, supervised by the competent Austrian financial market authority and authorised under the Austrian Act on Payment Services (ZaDiG 2018). Authorised activities include acquiring, issuing, money remittance, and payment initiation and account information services.
What DaoPay does
DaoPay operates as a payment service provider and acquirer for merchants and business partners across 72+ countries, with over 25 years of combined team experience in the payments industry. We enable merchants to accept and process payments from their end-customers, and we perform the regulatory, risk and technical functions that acquiring and payment-initiation services require.
Onboarding
How onboarding works
Before a merchant relationship begins, DaoPay carries out a structured onboarding review. Every application receives one of three outcomes: Go (approved to proceed), Review (further information or clarification required before a decision), or No-Fit (not accepted for this product or risk profile at this time). This structured approach protects merchants, payers and DaoPay alike, and reflects our operator-led, evidence-first approach to risk assessment.
Merchant agreement
Once onboarding results in a Go outcome, DaoPay and the merchant enter into a merchant agreement, which sets out the specific commercial terms, fees, and operational requirements for that merchant’s use of DaoPay’s services. These General Terms & Conditions apply alongside, and do not replace, the specific merchant agreement.
End-customer and payer policy
Payer relationship and consumer protection
Where DaoPay processes a payment between a merchant and an end-customer (a “payer”), DaoPay upholds applicable consumer-protection principles appropriate to the payment method and jurisdiction involved. Payers should also refer to the terms provided directly by the merchant from whom they are purchasing goods or services, as DaoPay is not the seller of those goods or services.
Legacy consumer billing terms (Pay By Phone — carried forward for continuity)
DaoPay’s predecessor consumer billing service (“Pay By Phone”) allowed end-customers to pay for digital content and services via their mobile phone bill or prepaid balance, across a large number of countries. The following payer-facing terms, drawn from that service and preserved here for continuity and for any payer relationships that continue under it, apply where relevant:
- Right of withdrawal: In line with the nature of digital content delivered immediately upon purchase, and subject to applicable consumer-protection law, the right of withdrawal may not apply once performance has begun with the consumer’s prior express consent and acknowledgment of loss of that right.
- Payment finalisation window: Certain payment methods used in this context are subject to a finalisation window of up to 35 days, reflecting settlement practices of the underlying telecommunications billing partners.
- Dispute handling with merchants: Where a payer has a dispute concerning goods or services purchased from a merchant, the payer should first contact that merchant directly; DaoPay’s role is limited to the payment processing function.
Payments
How payments are processed
DaoPay processes payments on behalf of merchants in accordance with the applicable merchant agreement and these Terms. Settlement timing depends on the payment method, scheme rules, and any risk or compliance holds required under applicable law.
Fees
Fees for DaoPay’s services are set out in the applicable merchant agreement and are not duplicated in these general Terms, since they vary by product, volume and risk profile.
Liability
Limitation of liability
To the extent permitted by applicable law, DaoPay’s liability for any claim arising out of or relating to these Terms or the services provided is limited to direct damages actually incurred, and DaoPay excludes liability for indirect, incidental, consequential or special damages. Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including in respect of gross negligence or wilful misconduct.
Indemnity
Each party agrees to indemnify the other against losses arising from a breach of these Terms, to the extent permitted by applicable law.
Data protection
Personal data processed in connection with these Terms and the services provided under them is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
Disputes and governing law
Disputes with merchants
Any dispute arising between DaoPay and a merchant in connection with these Terms or a merchant agreement will first be addressed through direct engagement between the parties before either party pursues further legal remedies.
Governing law and jurisdiction
These Terms are governed by the laws of Austria. The courts of Vienna, Austria have jurisdiction over any dispute arising from or in connection with these Terms, without prejudice to any mandatory consumer-protection jurisdiction rules that may apply to payers.

Changes to these Terms
We may update these Terms from time to time to reflect changes in our services, technology or applicable law. The version published on this website is the version in effect. Material changes affecting active merchant agreements will be communicated directly to affected merchants in accordance with the terms of their agreement.
